Terms of Use
Last updated 2026-10-20
These Terms are an agreement between you and Ihor Sorokin (“we”, “us”) about Padock. By installing or using a Padock app, or by creating a Padock account, you accept them. If you use Padock for an organization, you accept them for that organization too, and confirm you may do so. If you don't accept them, don't install or use Padock.
1. What these Terms cover
- The Software: the Padock app for macOS, the Padock server (
ade-server) that runs on your Mac or on a server you choose, the Padock app for iPhone and Android, and their updates. - The Service: your Padock account, sign-in, the relay that connects your devices, downloads and updates, and any machines we host for you.
The Software is licensed to you, not sold. We and our licensors keep all rights not expressly granted here.
2. Your license
While you follow these Terms, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on devices you own or control, and to use the Service, for Permitted Use:
- your own personal projects, learning and open-source work;
- work as a freelancer or for an organization that is not an Enterprise (section 3);
- evaluating Padock for up to 30 days, in any organization.
3. Enterprise Use needs a commercial license
An Enterprise is an organization that, together with its affiliates, has more than 50 employees and contractors, or more than USD 5 million in annual revenue. Enterprise Use is any use of Padock by an Enterprise, or by anyone working for or on behalf of one (an employee, contractor or consultant), for that Enterprise's work, on any device, including your own.
Enterprise Use is not Permitted Use. It needs a separate written commercial license from us; write to [email protected]. Without one, Enterprise Use is a breach of these Terms and infringes our rights. We may ask you to confirm in writing that your use is Permitted Use, and, if it is not, to obtain a license and pay its fees for the period of unlicensed use.
4. What you may not do
- copy, modify, translate or make derivative works of the Software, beyond what normal use and one backup need;
- decompile, disassemble or reverse engineer it, except where the law allows it despite this restriction;
- remove, disable or get around sign-in, access checks, license keys, usage limits or any other technical protection;
- rent, lease, lend, sell, sublicense or redistribute the Software, or offer it or the Service to others as a hosted or managed service;
- share your account or its tokens, or let others use Padock through it;
- use Padock to build or benchmark a competing product, or copy its features, interface or design;
- remove or change any proprietary notices;
- use Padock in breach of the law, of others' rights, or of the Acceptable Use rules in section 9.
5. Your account
You sign in with a Google account. An account is for one person. Keep your devices and sign-in secure; you are responsible for what happens under your account. Tell us at once at [email protected] if you think someone else has used it. During the beta we let people in from a waitlist, and may decline, limit or close access at our discretion.
You can delete your account at any time; see padock.dev/delete-account.
6. Agents act on your machines, at your direction
Padock starts and shows AI coding agents (such as Claude Code) that read, write and delete files, run commands, and use your accounts on other services, on the machines you connect. You choose what they work on and what they may do. Review their work before you rely on it, keep backups, and don't give them access you wouldn't give a new colleague. We are not responsible for what an agent does on your machines or accounts.
7. Third-party services
Padock works with services we don't run: Anthropic (Claude and Claude Code), Google, Jira, GitLab, GitHub and others. You use them under your own accounts and their own terms, and you are responsible for following those terms, including any limits on how a subscription may be used. Padock does not resell or share any AI subscription; each person uses their own. Padock is not affiliated with or endorsed by Anthropic, Google, Atlassian, GitLab or GitHub; their names are their trademarks.
8. Your content
Your code, prompts, terminal output and files (“Your Content”) stay yours. We claim no rights in them. The Software works with them on your own machines; between your devices they travel through our relay encrypted end to end, so we can't read them. On a machine we host for you, we access it only to run, secure and support it, or when the law requires it. How we handle personal data is in our Privacy Policy.
If you send us feedback or ideas, we may use them freely, without obligation to you.
9. Acceptable use
You may not use Padock, or a machine we host, to:
- break the law, or infringe anyone's intellectual property, privacy or other rights;
- make or spread malware, or attack, scan, probe or overload any system, network or service, ours included;
- send spam or unsolicited messages, or run phishing or fraud;
- mine cryptocurrency, or use resources far beyond normal development work;
- get around rate limits, quotas or access controls, ours or a third party's;
- host or share content that exploits children, incites violence or is otherwise unlawful.
We may suspend access at once to stop a breach of this section, and tell you why unless the law or safety prevents it.
10. Prices
Padock is free for Permitted Use, and the features it has for free stay free. New features may come with a paid plan; we'll show the price before you buy, and you can keep using Padock without them. Paid plans, when offered, have their own terms shown at purchase. A purchase made through the App Store or Google Play also follows that store's terms.
11. Updates and changes
The Software may update itself to fix problems, keep it secure and add features, and some versions may stop working with the Service after a newer one is out. We may change, add or remove features of Padock. During the beta, things may break or change without notice.
12. No warranty
Padock is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and that Padock will be uninterrupted, secure or free of errors, or that any agent's output will be correct.
13. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, however caused. Our total liability for all claims about Padock is limited to the greater of the amount you paid us in the 12 months before the claim, or USD 50.
Nothing in these Terms limits liability that the law does not allow to be limited, such as for death or personal injury caused by negligence, or for fraud, or takes away rights you have as a consumer under the law where you live.
14. Ending these Terms
You may stop using Padock and delete your account at any time. We may suspend or end your access if you breach these Terms, if the law requires it, or if we stop offering Padock, with notice where we reasonably can. When these Terms end, your license ends: stop using the Software and delete it. Sections 3, 4, 8, 12, 13, 16 and 17 survive.
15. The App Store and Google Play
If you got the Padock app from Apple's App Store, these terms also apply:
- These Terms are between you and us, not Apple. We, not Apple, are responsible for the app and its content.
- Your license is to use the app on Apple-branded devices you own or control, as the App Store's Usage Rules allow.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to conform to a warranty that applies, you may tell Apple, and Apple will refund its purchase price, if any. To the extent the law allows, Apple has no other warranty obligation for the app.
- We, not Apple, are responsible for any claims about the app, including product liability, failure to meet legal or regulatory requirements, consumer protection, privacy, and claims that the app or your use of it infringes a third party's intellectual property.
- You confirm you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and are not on any U.S. Government list of prohibited or restricted parties.
- You must follow the terms of any third-party service you use with the app.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
If you got the app from Google Play, Google Play's terms also apply, and Google is not responsible for the app.
16. Export and sanctions
You may not use, export or re-export Padock in breach of export control or sanctions laws, including those of the United States, the European Union and the United Kingdom, or if you are a person those laws restrict.
17. Law and disputes
These Terms are governed by the law of Ukraine, without regard to its conflict-of-law rules, and its courts have jurisdiction over disputes about them. If you are a consumer, you also keep the protection of the mandatory law of the country where you live, and may bring claims in its courts. The UN Convention on Contracts for the International Sale of Goods does not apply.
18. Changes to these Terms
We may update these Terms. If a change matters, we'll tell you in the app or by email before it takes effect, and the app may ask you to accept it. If you don't accept a change, stop using Padock. The date at the top shows the latest version.
19. The rest
If a part of these Terms can't be enforced, the rest still applies. Not enforcing a right is not giving it up. You may not transfer these Terms without our consent; we may transfer them with our business. These Terms, the Privacy Policy and any commercial license you sign are the whole agreement about Padock.
